3. Eligibility

The Client acknowledges that Kinetic Lanes cannot guarantee business outcomes.


18. Third-Party Platforms

Our Services may depend upon third-party platforms beyond our control.

These may include:

  • WordPress
  • HubSpot
  • Klaviyo
  • Meta
  • Google
  • Microsoft
  • Razorpay
  • Offer18
  • BookMy.Day
  • Cloudflare
  • QUIC.cloud
  • Email service providers
  • Payment processors
  • Domain registrars
  • Hosting providers

We are not responsible for:

  • Platform outages
  • API failures
  • Service interruptions
  • Account suspensions

Any interruption caused by a third-party provider shall not constitute a breach of these Terms by Kinetic Lanes.


19. Limitation of Liability

whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages.


Maximum Liability

To the fullest extent permitted by law, Kinetic Lanes’ total aggregate liability arising out of or relating to any claim shall not exceed the greater of:

  • The total amount actually paid by you to Kinetic Lanes for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim; or
  • USD $100.

Certain jurisdictions do not allow limitations on certain damages, so portions of this section may not apply to you.


20. Indemnification

You agree to defend, indemnify, and hold harmless Kinetic Lanes and its officers, directors, employees, contractors, affiliates, licensors, successors, and agents from and against any claims, liabilities, losses, damages, judgments, settlements, costs, or expenses (including reasonable legal fees) arising out of or related to:

Performance shall be suspended for the duration of the force majeure event without constituting a breach of these Terms.

Where Kinetic Lanes receives confidential information in connection with providing Services, we will use commercially reasonable efforts to protect such information from unauthorized disclosure.

Likewise, you agree not to disclose Kinetic Lanes’ confidential information, including but not limited to:

  • Proposals

  • Internal documentation

This obligation does not apply to information that:

  • Is publicly available through no fault of the receiving party;
  • Was lawfully known prior to disclosure;
  • Is independently developed without use of confidential information; or
  • Must be disclosed pursuant to law or court order.

24. Electronic Communications

By using our Services, you consent to receive communications electronically.

Electronic communications satisfy any legal requirement that such communications be in writing.


25. AI-Assisted Services

Kinetic Lanes may use artificial intelligence and machine learning technologies to assist in delivering certain Services, including but not limited to:

  • Workflow automation
  • Code generation
  • Marketing ideation
  • Customer support

AI-generated outputs are reviewed by human personnel before being delivered to clients where appropriate.

The use of AI does not transfer ownership of your confidential information to Kinetic Lanes or grant us rights beyond those necessary to provide the Services.

You acknowledge that AI-generated outputs may require human verification and should not be relied upon as the sole basis for legal, financial, medical, or other professional decisions.


26. Feedback and Suggestions

If you provide suggestions, ideas, feedback, feature requests, testimonials, or recommendations regarding our Services, you grant Kinetic Lanes a perpetual, worldwide, irrevocable, royalty-free license to use, modify, incorporate, publish, and commercialize such feedback without compensation, provided that we will not publicly attribute personally identifiable information to you without your permission.


27. Export Controls and Sanctions

You represent and warrant that:

  • You are not located in a country subject to comprehensive trade sanctions that prohibit our provision of the Services.
  • You are not listed on any applicable government sanctions or restricted party list that would make providing the Services unlawful.

You agree to comply with all applicable export control and sanctions laws.


28. Governing Law

These Terms shall be governed by and construed in accordance with the laws governing the principal place of business of Kinetic Lanes, without regard to conflict of law principles.

Nothing in these Terms limits any mandatory consumer rights or protections that apply under the laws of your jurisdiction.


29. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to make reasonable efforts to resolve disputes through good-faith discussions.

If a dispute cannot be resolved informally, the parties agree that disputes shall be resolved in the courts having jurisdiction over Kinetic Lanes’ principal place of business, unless mandatory law requires otherwise.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property, confidential information, or other legal rights.


30. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.


31. Waiver

The failure of Kinetic Lanes to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.


32. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service-specific agreements, Statements of Work, Data Processing Agreements, Affiliate Program Terms, Digital Product License Agreements, or other written agreements between you and Kinetic Lanes, constitute the entire agreement between the parties concerning the subject matter addressed herein and supersede all prior discussions, proposals, representations, or agreements relating to that subject matter.


PART III — MARKETING SERVICES TERMS


33. Scope of Marketing Services

Kinetic Lanes provides professional marketing and digital consulting services, which may include, but are not limited to:

  • Email Marketing
  • Marketing Automation
  • Lifecycle Marketing
  • Customer Journey Development
  • Paid Media Management
  • Website Design
  • Website Development
  • Shopify Development
  • WordPress Development
  • Landing Page Design
  • Conversion Rate Optimization (CRO)
  • Marketing Strategy & Consulting
  • Analytics & Reporting
  • CRM Integration
  • Technical Marketing Support
  • Training and Workshops

The specific services to be provided will be outlined in a proposal, Statement of Work (“SOW”), service agreement, or other written communication between Kinetic Lanes and the Client.

Unless expressly agreed in writing, Kinetic Lanes is not obligated to perform services outside the agreed scope.


34. Proposals and Statements of Work

All quotations, proposals, estimates, and Statements of Work are valid only for the period stated within the document or, if no period is specified, for thirty (30) days from the date of issuance.

A proposal or quotation does not constitute a binding agreement until accepted by both parties through:

  • A signed agreement;
  • Written acceptance via email;
  • Acceptance through an electronic signature platform;
  • Payment of an invoice or deposit referencing the proposal; or
  • Commencement of work by Kinetic Lanes.

Any modification to the agreed scope may require a revised proposal, updated pricing, or a change order.


35. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information.
  • Supply all required content, assets, and credentials in a timely manner.
  • Designate a primary point of contact.
  • Respond to requests for approvals, feedback, or decisions within a reasonable timeframe.
  • Maintain appropriate licenses for any third-party software or assets they own.
  • Ensure that all materials provided to Kinetic Lanes do not infringe the rights of any third party.
  • Maintain backups of their own data unless otherwise agreed.

The Client remains solely responsible for the legality, accuracy, and ownership of all content, trademarks, logos, images, and other materials supplied to Kinetic Lanes.

Failure to provide requested information or approvals may result in delays, additional fees, revised timelines, or suspension of work.


36. Project Timelines and Delays

Estimated timelines are provided in good faith and are based on information available at the time the project begins.

Project timelines may be affected by:

  • Delayed client feedback.
  • Delayed content delivery.
  • Third-party platform outages.
  • Changes in project scope.
  • Technical issues.
  • Regulatory changes.
  • Force majeure events.

Unless expressly agreed in writing, all project dates are estimates and do not constitute guaranteed delivery dates.

Kinetic Lanes is not responsible for delays caused by circumstances outside its reasonable control.


37. Change Requests

A change request includes any modification to the agreed scope of work after work has commenced.

Examples include:

  • Additional pages.
  • New features.
  • Design revisions beyond the agreed limit.
  • New integrations.
  • Additional automations.
  • Additional campaign types.
  • New reporting requirements.
  • Additional training sessions.

Kinetic Lanes reserves the right to:

  • Decline change requests;
  • Extend project timelines;
  • Issue revised quotations; or
  • Charge additional fees based on the complexity of the requested changes.

No change request is binding unless accepted by both parties.


38. Client Approvals

The Client is responsible for reviewing and approving deliverables within a reasonable period.

Approved items may include:

  • Website designs.
  • Email designs.
  • Copywriting.
  • Campaign strategy.
  • Automation workflows.
  • Landing pages.
  • Reports.
  • Advertising creatives.

Once a deliverable has been approved, subsequent changes may be treated as new work and may incur additional fees.

Where the Client does not provide feedback within the agreed review period, Kinetic Lanes may reasonably consider the deliverable approved for purposes of project progression, after providing notice to the Client.


39. Email Marketing Services

For Email Marketing engagements, Kinetic Lanes may provide services including:

  • Campaign planning
  • Campaign creation
  • Email design
  • Copywriting
  • Marketing automation
  • List segmentation
  • Audience management
  • Flow optimization
  • Reporting
  • Deliverability consulting

The Client acknowledges that Kinetic Lanes does not control:

  • Recipient behavior.
  • Email client rendering.
  • Internet service providers (ISPs).
  • Spam filtering.
  • Domain reputation.
  • Third-party email platform policies.

Accordingly, Kinetic Lanes does not guarantee:

  • Inbox placement.
  • Open rates.
  • Click-through rates.
  • Deliverability.
  • Revenue.
  • Conversion rates.
  • Subscriber growth.
  • List quality.

The Client is responsible for ensuring that email recipient lists have been collected lawfully and that all campaigns comply with applicable anti-spam laws, including CAN-SPAM, CASL, GDPR, UK GDPR, PECR, and any other applicable legislation.


40. Marketing Automation Services

Kinetic Lanes may design, implement, or optimize automated marketing workflows.

The Client acknowledges that workflow performance depends upon:

  • CRM data quality.
  • Platform capabilities.
  • Third-party integrations.
  • Customer behavior.
  • Trigger events.
  • Data accuracy.
  • Technical limitations.

Kinetic Lanes is not responsible for failures resulting from inaccurate client data, platform outages, integration failures, or changes made by the Client or third parties after implementation.


41. Paid Media Services

Paid media services may include campaign creation, audience strategy, creative management, optimization, reporting, and consultation across advertising platforms.

The Client acknowledges that:

  • Advertising spend is separate from Kinetic Lanes’ service fees unless expressly stated otherwise.
  • Advertising platforms independently determine ad approval, delivery, and auction outcomes.
  • Platform policies may change without notice.
  • Campaign performance is influenced by numerous external factors beyond Kinetic Lanes’ control.

Kinetic Lanes does not guarantee:

  • Ad approval.
  • Cost-per-click (CPC).
  • Cost-per-acquisition (CPA).
  • Impressions.
  • Reach.
  • Clicks.
  • Leads.
  • Sales.
  • Return on Ad Spend (ROAS).
  • Return on Investment (ROI).

The Client remains responsible for complying with advertising platform policies and applicable laws.


42. Website Design and Development

Website development services may include design, front-end development, back-end development, integrations, migrations, maintenance, and related consulting.

Unless otherwise agreed:

  • The Client is responsible for providing content, branding assets, and approvals.
  • Third-party licenses, themes, plugins, and extensions remain subject to their own licensing terms.
  • Domain registration and hosting are the Client’s responsibility unless included within the agreed scope.

Kinetic Lanes does not guarantee compatibility with all browsers, devices, plugins, or future software updates unless expressly included in the scope of work.

The Client is responsible for testing and accepting the website before launch.

After launch, responsibility for ongoing maintenance, updates, backups, and security transfers to the Client unless covered by a separate maintenance agreement.


43. Intellectual Property

Unless otherwise agreed in writing:

  • Kinetic Lanes retains ownership of its pre-existing intellectual property, methodologies, frameworks, templates, scripts, software, and know-how.
  • Upon full payment of all applicable fees, the Client receives ownership of final custom deliverables specifically created for the Client, excluding any third-party materials, open-source software, or Kinetic Lanes’ pre-existing intellectual property.
  • Kinetic Lanes retains the right to reuse its general knowledge, experience, methodologies, and non-confidential processes developed during the engagement.

Any stock images, fonts, plugins, or licensed assets remain subject to the terms of their respective licensors.


44. Client Credentials and Access

The Client may provide access to third-party platforms, including but not limited to email service providers, CRM systems, advertising platforms, hosting providers, analytics tools, and ecommerce platforms.

The Client represents that it has the authority to grant such access.

Kinetic Lanes will use provided credentials solely for the purpose of delivering the agreed Services and will take reasonable measures to protect such credentials.

The Client may revoke access at any time; however, revocation may impact Kinetic Lanes’ ability to continue providing the Services.


45. Fees and Payment

Fees for Marketing Services are set forth in the applicable proposal, quotation, Statement of Work, or invoice.

Unless otherwise agreed:

  • Invoices are payable within the period stated on the invoice.
  • Taxes, duties, and government charges are the Client’s responsibility unless otherwise required by law.
  • Work may commence only after receipt of any required deposit or initial payment.
  • Kinetic Lanes may suspend Services for overdue invoices after providing reasonable notice.

Late payments may incur interest or late fees where permitted by applicable law and as specified in the applicable agreement.


46. Suspension and Termination of Services

Either party may terminate an engagement in accordance with the applicable agreement or Statement of Work.

Kinetic Lanes may suspend or terminate Services immediately if the Client:

  • Fails to pay amounts due.
  • Breaches these Terms.
  • Engages in unlawful activity.
  • Requests Services that violate applicable law or third-party platform policies.
  • Provides false or misleading information.

Termination does not relieve either party of obligations accrued prior to the effective date of termination, including payment obligations and confidentiality commitments.


PART IV — AFFILIATE NETWORK TERMS


47. Affiliate Network Overview

Kinetic Lanes operates a performance marketing platform (“Affiliate Network“) that connects advertisers seeking to promote products or services with approved publishers who earn commissions for qualifying conversions.

The Affiliate Network facilitates:

  • Affiliate campaign management
  • Advertiser onboarding
  • Publisher onboarding
  • Performance tracking
  • Commission attribution
  • Conversion reporting
  • Fraud monitoring
  • Campaign optimization
  • Payment administration

Participation in the Affiliate Network constitutes acceptance of these Terms, as well as any campaign-specific requirements communicated by Kinetic Lanes or the applicable Advertiser.


48. Eligibility

To participate in the Affiliate Network, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction.
  • Have the legal authority to enter into binding agreements.
  • Provide accurate and complete registration information.
  • Comply with all applicable laws and regulations.
  • Comply with these Terms and any campaign-specific requirements.

Kinetic Lanes reserves the right to approve or reject any application at its sole discretion.

Approval into the Affiliate Network does not guarantee acceptance into every advertiser campaign.


49. Advertiser Accounts

Advertisers are responsible for:

  • Providing accurate campaign information.
  • Supplying lawful creative materials.
  • Ensuring that advertised products and services comply with applicable laws.
  • Funding campaigns and paying all agreed fees.
  • Maintaining accurate landing pages.
  • Honoring legitimate conversions.
  • Responding to campaign-related inquiries.

Advertisers represent and warrant that they own or have the necessary rights to all trademarks, copyrights, logos, and promotional materials submitted to Kinetic Lanes.


50. Publisher Accounts

Publishers are responsible for:

  • Maintaining accurate account information.
  • Providing truthful information regarding promotional methods.
  • Complying with campaign rules.
  • Maintaining lawful traffic sources.
  • Protecting account credentials.
  • Reporting suspected fraud or security incidents.

Publishers may not create multiple accounts without prior written authorization.

Accounts are personal to the approved publisher and may not be transferred or sold.


51. Campaign Participation

Acceptance into the Affiliate Network does not automatically qualify a publisher for every campaign.

Advertisers may establish campaign-specific eligibility requirements, including but not limited to:

  • Geographic restrictions
  • Traffic quality requirements
  • Audience restrictions
  • Content requirements
  • Promotional restrictions
  • Industry-specific compliance obligations

Publishers must comply with all campaign-specific rules.

Failure to do so may result in rejected conversions, withheld commissions, suspension, or termination.


52. Tracking and Attribution

Kinetic Lanes uses affiliate tracking technologies, including Offer18 and other tracking mechanisms, to attribute conversions and calculate commissions.

Tracking may rely on:

  • Click identifiers
  • Referral URLs
  • Device information
  • Browser information
  • Session identifiers
  • Server-side tracking
  • Conversion events
  • API integrations

A conversion will only be eligible for commission if it is properly tracked and validated.

Kinetic Lanes does not guarantee uninterrupted tracking.

Tracking may be affected by:

  • Browser settings
  • Cookie restrictions

  • Device changes
  • User behavior
  • Third-party platform limitations

53. Commission Eligibility

Publishers earn commissions only for Valid Conversions, as defined by the applicable campaign.

Examples of qualifying events may include:

  • Qualified leads
  • App installs
  • Approved registrations
  • Subscription activations
  • Other conversion events specified by the advertiser

A conversion is not considered valid until it has been verified by both the Advertiser and Kinetic Lanes.


54. Commission Approval

Commissions remain Pending until verification is complete.

During verification, conversions may be reviewed for:

  • Fraud
  • Duplicate transactions
  • Order cancellations
  • Chargebacks
  • Refunds
  • Invalid leads
  • Policy violations
  • Tracking discrepancies

Only Approved commissions become eligible for payment.


55. Reversed or Rejected Commissions

Kinetic Lanes or the Advertiser may reject or reverse commissions where a conversion is determined to be invalid.

Examples include:

  • Cancelled orders
  • Refunded purchases
  • Duplicate conversions
  • Fraudulent transactions
  • Self-referrals
  • Test transactions
  • Fake leads
  • Invalid contact information
  • Payment failures
  • Chargebacks
  • Violation of campaign rules

Commission decisions made in good faith following verification are final unless otherwise required by applicable law.


56. Prohibited Promotional Methods

Publishers must not engage in deceptive, unlawful, or misleading promotional activities.

Without limitation, the following activities are prohibited unless expressly authorized in writing:

  • Cookie stuffing
  • Forced clicks
  • Click injection
  • Hidden links
  • Invisible iframes
  • Toolbar injections
  • Browser extensions that overwrite tracking
  • Pop-under advertising
  • Auto redirects
  • Auto-generated traffic
  • Bot traffic
  • Malware
  • Spyware
  • Adware
  • Spam emails
  • SMS spam
  • Fake social accounts
  • Misleading advertisements
  • Fake reviews
  • Incentivized traffic where prohibited
  • Misrepresentation of advertiser relationships
  • Trademark infringement
  • Unauthorized coupon distribution
  • Unauthorized cashback offers
  • Fake coupon codes
  • Domain squatting
  • Typosquatting
  • Trademark bidding where prohibited
  • Brand impersonation

Violation of this section may result in immediate account termination, forfeiture of unpaid commissions, and legal action where appropriate.


57. Email Marketing by Publishers

Publishers who use email marketing must comply with all applicable laws, including but not limited to:

  • CAN-SPAM Act
  • CASL
  • GDPR
  • UK GDPR
  • PECR
  • Other applicable anti-spam regulations

Publishers are solely responsible for ensuring that:

  • Email recipients have been lawfully obtained.
  • Required consents have been obtained where necessary.
  • Unsubscribe mechanisms are included.
  • Sender information is accurate.
  • Subject lines are not deceptive.

Kinetic Lanes is not responsible for unlawful email marketing conducted by publishers.


58. Paid Search Restrictions

Unless expressly authorized by the Advertiser:

Publishers may not:

  • Bid on advertiser trademarks.
  • Bid on misspellings of advertiser trademarks.
  • Register domains containing advertiser trademarks.
  • Create advertisements that imply official affiliation.
  • Outrank official advertiser websites through prohibited bidding strategies.

Campaign-specific paid search policies take precedence where applicable.


59. Intellectual Property

Advertisers retain ownership of all trademarks, logos, creative assets, and promotional materials provided for campaigns.

Publishers receive only a limited, revocable, non-exclusive license to use approved promotional materials solely for participating in authorized campaigns.

Publishers may not:

  • Modify creative assets without authorization.
  • Use advertiser trademarks outside approved campaigns.
  • Continue using creative assets after campaign termination.
  • Claim ownership of advertiser intellectual property.

60. Payments

Approved commissions are paid according to the payment schedule communicated by Kinetic Lanes.

Payment eligibility may depend upon:

Publishers are solely responsible for determining and paying any taxes arising from commissions received through the Affiliate Network.

62. Suspension and Termination

Kinetic Lanes may suspend or terminate any advertiser or publisher account, with or without prior notice, if we reasonably believe that the participant has:

  • Violated these Terms.
  • Violated campaign rules.
  • Engaged in fraud.
  • Submitted false information.
  • Failed to comply with applicable law.
  • Misused tracking technologies.
  • Infringed intellectual property rights.
  • Damaged the reputation of Kinetic Lanes or an Advertiser.

  • Suspension of tracking.
  • Cancellation of pending commissions.
  • Forfeiture of unpaid commissions derived from fraudulent or prohibited activity.
  • Permanent exclusion from the Affiliate Network.

63. Network Modifications

Kinetic Lanes reserves the right to:

  • Add or remove campaigns.
  • Modify commission structures.
  • Update campaign requirements.
  • Introduce new tracking technologies.
  • Suspend or discontinue features.
  • Modify reporting functionality.
  • Change payout schedules (with reasonable notice where applicable).

Such modifications will not affect commissions already approved unless required to correct fraud, error, or legal non-compliance.


64. Relationship of the Parties

Participation in the Affiliate Network does not create:

  • Employment.
  • Partnership.
  • Joint venture.
  • Agency.
  • Franchise.
  • Fiduciary relationship.

Publishers participate as independent contractors and are solely responsible for their own business operations, taxes, and legal compliance.

Advertisers likewise remain independent businesses responsible for their own products, services, and customer relationships.

65. Digital Products
